1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Bright Dragon Solutions Limited ("Walletarch", "we", "us") governing your access to and use of the Walletarch cryptocurrency wallet application, website, and all related services (collectively, the "Service").

By creating an account, downloading the application, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.

We reserve the right to update these Terms at any time. We will notify you of material changes via in-app notification or email at least 14 days before changes take effect. Continued use of the Service following the effective date constitutes acceptance of the revised Terms.

2. Eligibility

To use the Service, you must: (a) be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater; (b) have the legal capacity to enter into binding contracts in your jurisdiction; (c) not be a resident of, or located in, a jurisdiction where use of cryptocurrency wallets is prohibited by applicable law; (d) not be subject to sanctions imposed by Hong Kong, the United Nations, the European Union, or any other applicable authority, or otherwise prohibited from transacting with Walletarch under applicable law.

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of an entity, you further represent that you have authority to bind that entity to these Terms.

3. Description of the Service

Walletarch is a non-custodial cryptocurrency wallet that allows you to generate, store, and manage cryptographic keys on your personal device and interact with supported blockchain networks. The Service includes:

• Wallet creation and key management: generation of private keys and recovery phrases stored exclusively on your device
• Asset management: view estimated balances and manage digital assets across supported blockchain networks including Ethereum (ERC-20), Bitcoin (BTC), Tron (TRC-20), and Solana (SOL)
• Send and receive: initiate and confirm token transfers between wallet addresses on supported networks
• In-app swap: access to decentralized or third-party liquidity aggregators to exchange assets, subject to availability
• Transaction history: view a record of transactions associated with your wallet addresses
• Account settings and security: manage your profile, password, session preferences, and notification settings

The specific features available to you may vary depending on your jurisdiction, the networks supported at a given time, and any operational limitations. We reserve the right to add, modify, or remove features at any time with reasonable notice.

4. Non-Custodial Nature — Critical Disclosures

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS IMPORTANT DISCLOSURES ABOUT THE NATURE OF THE SERVICE.

Walletarch is a non-custodial wallet. This means:

• Walletarch does not hold, control, or have access to your private keys, seed phrases, or recovery phrases at any time
• Walletarch cannot reverse, cancel, or modify any blockchain transaction you initiate
• Walletarch cannot recover your wallet if you lose your recovery phrase
• Walletarch cannot freeze or block your funds in response to unauthorized access, theft, or legal order
• You are solely and exclusively responsible for safeguarding your recovery phrase and private keys
• If your device is lost, stolen, or damaged, and you have not securely backed up your recovery phrase, your funds may be permanently and irrecoverably lost

Loss or theft of your recovery phrase is catastrophic and irreversible. Do not store your recovery phrase digitally, share it with any person, or enter it on any website or application other than Walletarch. Walletarch staff will never ask for your recovery phrase.

5. Fees

Walletarch may charge service fees for specific features including in-app swaps. All applicable fees will be disclosed to you before you confirm any transaction. Blockchain network fees ("gas fees") are separate from Walletarch service fees and are paid directly to blockchain validators or miners — Walletarch does not collect or control network fees.

Fee structures are subject to change. We will provide advance notice of any changes to our service fees. Your continued use of fee-bearing features after the effective date of a fee change constitutes acceptance.

6. Prohibited Uses

You agree not to use the Service for any of the following purposes:

• Any activity that violates applicable local, national, or international law or regulation
• Money laundering, terrorist financing, or any activity designed to conceal the origin of illicitly obtained funds
• Circumventing economic sanctions imposed by Hong Kong, the European Union, the United Nations, or other applicable jurisdictions
• Fraud, phishing, identity theft, or any deceptive scheme targeting other users or third parties
• Unauthorized access to or interference with our systems, infrastructure, or other users' accounts
• Distribution of malware, ransomware, or other malicious code
• Market manipulation, wash trading, or any activity designed to artificially inflate or deflate the price of any digital asset
• Violating the intellectual property rights of Walletarch or any third party
• Transmitting unsolicited communications (spam) to other users or through our support channels
• Creating accounts using false information or impersonating any person or entity

Violation of these prohibitions may result in immediate suspension or termination of your account, reporting to relevant authorities, and legal action.

7. Intellectual Property

The Service and all its content, features, functionality, design, visual elements, trademarks, logos, and underlying source code are owned by Bright Dragon Solutions Limited or its licensors and are protected by copyright, trademark, and other applicable intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial purposes in accordance with these Terms. You may not: copy, modify, or create derivative works of the Service; reverse engineer, disassemble, or decompile any component; remove any proprietary notices; or use the Service in any manner not expressly permitted by these Terms.

8. Disclaimers and No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRIGHT DRAGON SOLUTIONS LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components
• Any warranty that defects in the Service will be corrected
• Any warranty regarding the accuracy, reliability, or completeness of any information or content provided through the Service, including estimated asset prices and balances
• Any warranty regarding the security, reliability, or continued operation of any blockchain network

Digital assets are volatile and speculative. Nothing in the Service constitutes financial, investment, tax, or legal advice. You are solely responsible for evaluating the suitability of any transaction for your individual circumstances.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRIGHT DRAGON SOLUTIONS LIMITED AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of data, or loss of digital assets
• Any loss of digital assets resulting from your failure to secure your private keys or recovery phrase
• Any loss resulting from unauthorized access to your account or wallet
• Any loss resulting from blockchain network failures, hard forks, smart contract bugs, or validator misconduct
• Any loss resulting from regulatory actions targeting your use of digital assets
• Any damages exceeding the greater of €100 EUR or the fees paid by you to Walletarch in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion or limitation of certain categories of damages. In such jurisdictions, Walletarch's liability is limited to the minimum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bright Dragon Solutions Limited and its affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any transaction you conduct using the Service.

11. Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong"), without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

The parties submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any disputes arising out of or in connection with these Terms. Notwithstanding the foregoing, either party may seek urgent injunctive or other equitable relief from any court of competent jurisdiction where necessary to protect its rights pending resolution of the dispute.

12. Dispute Resolution

We encourage you to contact us at support@walletarch.com to resolve any dispute informally. Most concerns can be resolved quickly and to your satisfaction through direct communication.

If a dispute cannot be resolved informally within 60 days, either party may submit the dispute to binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in Hong Kong, in accordance with the HKIAC Administered Arbitration Rules then in force. The arbitration shall be conducted in English, the seat of arbitration shall be Hong Kong, and the arbitral tribunal's award shall be final and binding on the parties.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from the courts of Hong Kong to prevent irreparable harm pending arbitration.

CLASS ACTION WAIVER: You agree that any arbitration shall be conducted on an individual basis and not as a class or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

You may terminate your account at any time by using the account deletion feature in the application settings or by contacting support@walletarch.com. Termination does not affect your ability to access your funds, as your private keys remain on your device.

Walletarch may suspend or terminate your access to the Service immediately, without prior notice, if we determine that you have violated these Terms, that continued access poses a legal or security risk, or that you are located in a prohibited jurisdiction.

Sections 4, 7, 8, 9, 10, 11, and 12 survive termination of these Terms.

14. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, Cookie Notice, and Risk Disclosure, constitute the entire agreement between you and Walletarch with respect to the Service and supersede all prior or contemporaneous agreements.
